UCC Financing Statement (UCC-1/CNS-1)
A UCC Financing Statement is filed to perfect a security interest under the Uniform Commercial Code.
The proper place to file in order to perfect a security interest is with any one of the 53 County Recorders' offices or the Secretary of States office.
Special Note: Two exceptions to UCC Filings.
1. Transmitting Utility:
The proper place to file in order to perfect a security interest in collateral, including fixtures, of a transmitting utility is in the office of the Secretary of State.
2. Timber, oil, gas or minerals:
When the collateral is timber to be cut, minerals or the like (including oil and gas), or when the financing statement is filed as a fixture filing and the collateral is goods which are or are to become fixtures, then filing is in the office where a mortgage on the real estate concerned would be filed or recorded.
Any financing statement submitted for filing with any filing officer will be rejected if it does not contain a social security or tax identification number for each debtor.
The North Dakota Uniform Commercial Code Financing Statement Standard UCC-1/CNS-1 (SFN 14009) (39kb pdf) or the National UCC Financing Statement form is used to perfect a security interest.
The North Dakota UCC-1/CNS-1 form has been designed to allow the filing of an initial UCC financing statement and a farm products lien on the same form for one fee.
