Certificate of authority amendments

The North Dakota Insurance Department requires the filing of a Corporate Amendments Application for amending the company's Certificate of Authority. The Corporate Amendments Application is available electronically from the National Association of Insurance Commissioners.

All information at the UCAA website can be downloaded and printed at your location using Adobe Acrobat Reader. If you have difficulty, please contact the Department or the National Association of Insurance Commissioners.

North Dakota has no state specific forms to be filed with the Corporate Amendments Application.

Additional instructions for adding and deleting lines of business:
  • For foreign insurers, amended articles, amended Bylaws, and pro-forma financial statements are not required to be filed in North Dakota, unless specifically requested.

  • See description of lines of business by using this link to the ND Administrative Code.

Additional instructions for a name change or redomestication of a foreign insurer:

  • North Dakota law has no provision for name reservations.

  • New agent appointments are not required if the company's Federal Identification Number and NAIC Cocode remain unchanged.

  • Policy, rate and form filings:

    1. Forms with a company name or logo change should be refiled.
    2. Depending upon the timing of a change, it may be necessary to file a "bridge endorsement" to use on current active policies.
    3. After receiving an amended Certificate of Authority resulting from a name change, the Company should file a Certificate of Endorsement or Assumption.
Additional instructions for a change of city within the state of domicile:

  • Domestic insurers are required to submit the corporate Amendments Applications as instructed on the UCAA website.
  • Foreign insurers should submit only the Change of Address/Contact Notification Form 14 provided on the UCAA website.

Additional instructions for a merger of two or more foreign insurers:

  • North Dakota requires a copy of the merger agreement to be filed with the Corporate Amendments Application.

  • Amended articles, amended bylaws, pro-forma financial statements, and biographical affidavits are not required to be filed in North Dakota, unless specifically requested.

  • Any agents previously appointed with a merged company must also be appointed by the surviving company before the merger is finalized. Please contact the Department's Agent Licensing Division for agent/agency information.

  • A pre-acquisition notification regarding the potential competitive impact of a proposed merger is required pursuant to North Dakota Century Code Section 26.1-10-03.1, subsection 3. Use this link to review the relevant law.
Additional instructions for a proposed/completed change of control of foreign insurers:

  • Amended articles, amended bylaws, pro-forma financial statements and biographical affidavits are not required to be filed in North Dakota, unless specifically requested.

  • Amended articles and amended bylaws are not required of foreign insurers unless specifically requested by the Department.
Fees for a corporate amendments application:

North Dakota fees are on a retaliatory basis. Therefore, the fees of the state of domicile will be applicable if such fees are higher than the fees listed in North Dakota statutes as follows:

  • Amended Certificate of Authority - $50

  • Filing Amended Articles of Incorporation - $25

  • Filing Amended By-Laws - $10

  • Filing Agent for Service of Process - $10

  • Certificate of Deposit - $10

  • Certificate of Compliance - $10

  • Filing Merger Agreement - $30
