The North Dakota Insurance Department requires the filing of the National Association of Insurance Commissioners (NAIC) Corporate Amendments Application for amending the company's Certificate of Authority.

All information provided by the NAIC Uniform Certificate Authority Application (UCAA) website can be downloaded and printed. If you have questions, please contact the Department or the NAIC.

North Dakota has no state-specific forms to be filed with the Corporate Amendments Application.

Additional Instructions for a Name Change or Redomestication of a Foreign Insurer
  • North Dakota law has no provision for name reservations.
  • New agent appointments are not required if the company's Federal Identification Number and National Association of Insurance Commissioners (NAIC) Code remain unchanged.
  • Policy, rate and form filings:
    • Forms with a company name or logo change should be refiled.
    • Depending upon the timing of a change, it may be necessary to file a "bridge endorsement" to use on current active policies.
    • After receiving an amended Certificate of Authority resulting from a name change, the Company should file a Certificate of Endorsement or Assumption.

  • Domestic insurers are required to submit the corporate Amendments Applications as instructed on the Uniform Certificate of Authority Application (UCAA) website.
  • Foreign insurers should submit only the Change of Address/Contact Notification Form 14 provided on the UCAA website.

Additional Instructions for a Merger of Two or More Foreign Insurers
  • North Dakota requires a copy of the merger agreement to be filed with the Corporate Amendments Application.
  • Amended articles, amended bylaws, pro-forma financial statements and biographical affidavits are not required to be filed in North Dakota unless specifically requested.
  • Any agents previously appointed with a merged company must also be appointed by the surviving company before the merger is finalized. Please contact the North Dakota Insurance Department's Producer Licensing Division for producer information.
  • A pre-acquisition notification regarding the potential competitive impact of a proposed merger is required 30 days prior to the proposed effective date of the transaction pursuant to N.D.C.C. § 26.1-10-03.1(3).
  • If a pre-acquisition notice isn't required pursuant to N.D.C.C. § 26.1-10-03.1(3), an informational notice should be filed within 60 days of the effective date of the transaction.

Fees for a Corporate Amendments Application

North Dakota fees are on a retaliatory basis. Therefore, the fees of the state of domicile will be applicable if such fees are higher than the fees listed in the North Dakota statute as follows:

  • Amended Certificate of Authority: $50
  • Filing Amended Articles of Incorporation: $25
  • Filing Amended By-Laws: $0
  • Filing Agent for Service of Process: $0
  • Certificate of Deposit: $0
  • Certificate of Compliance: $0
  • Filing Merger Agreement: $30

Make all filing fees payable to the North Dakota Insurance Commissioner.
